Rola banków w nadzorze korporacyjnym w Polsce

Abstract

In Poland, banks play a significant role in providing companies to external capital. In fulfilling this role can supervise the corporate governance in a different way: acting as lenders (supervision debt), the function of shareholders (corporate governance) and acting in a complementary supervision (supervision of ownership and debt). In empirical studies so far little space is devoted to the analysis of banks’ involvement in the supervision of enterprises. This article is an attempt at filling this gap. The main aim of this article is to answer the question whether and to what extent the banks involved in the ownership supervision over companies, or grant loans to these enterprises and that the delegated their representatives to the supervisory boards of public companies, which are shareholders. In the first part of the article discusses the types characterized and supervision over enterprises by banks. In the second part of the article presents the results of empirical studies. The analysis showed that the role of banks in Poland in the financing business is far greater than the capital market and the banks in Poland does not engage in corporate governance based on participation in the share capital of companies.
